Consulting Agreement Terms

Role and Scope

As consultants to the Client, the role that Focused Momentum® (the Consultants) fills is multi-dimensional: process and meeting designers, facilitators, advisors, leadership coach and strategist.  For this agreement, these roles are all expressly focused on Strategic Planning and New Partnership Team Building as outlined in this document.  Any additional professional services will be defined, fees estimated and agreed to in writing before work proceeds or financial liability is incurred.

Confidential Information

As part of fulfilling this role, at times the Consultants may require access to confidential information. The Consultants agrees to handle this information with extreme care and is most willing to sign a non-disclosure agreement.

All materials produced under terms of this contract – written, graphic, or otherwise – shall remain the property of the Client. The Client furthermore retains the exclusive right to publish or disseminate in all languages reports arising from such materials.  The rights and duties provided for in this paragraph shall continue, notwithstanding the termination of the contract or the execution of its other provisions. 

The Consultants also agrees that all knowledge and information not already in the public domain which may be acquired from the Client, or its employees or by virtue of this assignment shall for all time and all purposed be regarded by the Consultants as strictly confidential and held in confidence, and shall not be strictly or indirectly disclosed to any person whatsoever excepting the Client’s written permission.


It is assumed that once an agreement is reached, both the Consultants and the Client will work in good faith to execute and successful project.  This consulting agreement naturally ends when all project deliverables outlined in this document are received to the satisfaction of the Client and when all fees for this scope of work are paid in full. 

If the Client needs to terminate this contract before its natural termination, they can do so without penalty, with 30-day written notice and timely payment of all work and expenses incurred up to the date of notification.  If notification occurs with less than 30-day notice to the Consultants, there will be a termination fee of 50% of the project fee.  This termination fee can be waived or adjusted by written agreement between the Consultants and the Clients.  If early termination occurs, the Consultants will turn over project documents to the Client no later than one week from notification.

The Consultants can terminate during the agreement only if the principals are physically unable to fulfill this agreement and with 30-day written notice to the Client.  At notification the Consultants must provide alternatives and options for the products and results outlined in this proposal.  If such termination is necessary, the Consultants will work in good faith to reduce project disruption.

Fees, Expenses, Invoice Term and Payment Schedule

The fees for services provided in this proposal are estimated based on an agreed upon scope of work and process for delivering this scope of work; no additional fees will be invoiced unless a written estimate is approved by the Clients.

Expenses, material costs and travel time are not included in the estimated fees and will be invoiced as incurred.  Travel time more than one hour is billed at half day rate.

Invoices are due upon receipt.  Invoices over 30 days will be charged a 5% late fee.


Strategy Class® Policies

Transfer, Cancellation and Refund Policy

For Workshops and Webinar programs, you may transfer to a future session, send someone to take your place or cancel without penalty at any time up to three weeks before your program. If you provide Focused Momentum® with less than 21-day notice, or fail to attend, you will be liable for the entire program fee.  Contact us at

Programs included in Focused Momentum® OnDemand offerings are not eligible for substitution, transfer, cancellation, return, or refund.

At Focused Momentum®, we guarantee the quality of our seminars. If, for any reason, you are not satisfied with a seminar for which you have paid, Focused Momentum® will give you credit toward another seminar of comparable price. Contact us at

Payment Options

Focused Momentum® provides two online payment options for your convenience:

Pay online with a credit card: You can bill the seminar to a corporate or personal credit card.

Payment offline through an invoice: Focused Momentum® will send a bill directly to you or your company. Please note that some companies may require a purchase order before they process an invoice. Please email us at if you would like to be invoiced.
